IMPORTANT NOTICE: THESE TERMS AND CONDITIONS OF SERVICE GOVERN ALL ACCESS TO AND USE OF DIGITAL SERVICES, UTILITIES, AND PAYMENT SOLUTIONS OPERATED BY WAVETOP GLOBAL SOLUTION. BY REGISTERING AN ACCOUNT, ACCESSING OUR API, OR UTILIZING ANY SERVICE, YOU EXPRESSLY AGREE TO BE BOUND BY ALL PROVISIONS HEREIN.

1. Principal Legal Agreement & Scope of Services

This Master Terms and Conditions of Service ("Agreement") constitutes a legally binding contract between Wavetop Global Solution ("Wavetop Global", "Company", "we", "us", or "our") and any individual or legal entity ("User", "Client", "Merchant", "Agent", or "you") accessing or utilizing our platform, mobile/web applications, or Application Programming Interfaces (APIs).

Wavetop Global provides an integrated digital service platform enabling services including, but not limited to:

• Airtime & Data Top-Up: Mobile recharge and data distribution across major networks.
• Bill Payments: Electricity meter tokens and Cable TV subscription renewals.
• Internet Services: Broadband and fixed-line data subscriptions.
• Education ePINs: Examination registration pins and result checker tokens (WAEC, NECO, NABTEB, etc.).
• Funds Transfer & Payments: Mobile payments, wallet-to-wallet transactions, and payment routing facilities.
• Messaging Solutions: Bulk SMS, Flash SMS, WhatsApp/Telegram messaging integration, and voice calls.

2. Eligibility and User Representation

By registering for or using the Services, you represent and warrant that:

• If acting as an individual, you are at least 18 years of age and possess full legal capacity to enter into a binding contract under applicable laws.
• If acting on behalf of a business, agent network, or corporate entity, you are duly authorized to bind such entity to these Terms.
• All information provided during registration, identity verification (KYC), or account maintenance is accurate, complete, and truthful.
• Your use of our platform complies fully with all applicable local, national, and international laws and regulations.

3. Account Management and Security Obligations

3.1 Credentials Security: You are strictly responsible for maintaining the security and confidentiality of your account credentials, including passwords, PINs, API keys, and authentication tokens. You accept sole responsibility for all activities and transactions performed under your account.

3.2 Unauthorized Access Notification: You must immediately notify Wavetop Global via [email protected] upon detecting or suspecting any unauthorized access, compromised credentials, or security breach. Wavetop Global shall not be liable for losses resulting from compromised user security.

4. Wallet Funding, Pricing, & Refund Policy

4.1 Wallet Pre-funding: Services on the platform are rendered on a pre-funded wallet basis unless explicit credit terms are executed under a separate formal contract. You must maintain sufficient wallet balance prior to executing transactions.

4.2 Finality of Wallet Deposits: All wallet funding transactions are final. Funds added to your Wavetop Global wallet are non-refundable once credited successfully to your user account balance.

4.3 Transaction Refund Conditions: Refunds or wallet reversals will strictly only be issued in cases of verified failed transactions (e.g., undelivered utility tokens or unfulfilled service requests) that cannot be resolved or dispatched after technical investigation.

5. Agent & Reseller Commission Structure

5.1 Earnings & Commissions: Designated Agents, Resellers, and B2B partners earn commissions or wholesale discounts based on transaction type, volume tier, and active partner category.

5.2 Commission Adjustments: Wavetop Global reserves the right to adjust commission structures, pricing tiers, or service fee schedules at its discretion. Notice of schedule adjustments will be communicated via the service dashboard or website updates.

6. Digital Utility & Mobile Payment Delivery Terms

6.1 Instant Fulfillment & Input Accuracy: Utility products (airtime, data, electricity tokens, education ePINs, cable TV) are processed automatically in real-time. You are solely responsible for verifying the accuracy of recipient phone numbers, meter numbers, smartcard/IUC numbers, and bank account details prior to submission. Successfully delivered digital products are non-cancellable and non-refundable.

6.2 Third-Party Provider Availability: Delivery relies on third-party telecommunications network operators, electricity distribution companies, examination bodies, and financial settlement networks. Wavetop Global does not guarantee uninterrupted upstream provider availability and is not liable for third-party network outages or delays.

7. Messaging & Communication Standards

When utilizing messaging facilities (SMS, Voice, Messaging APIs), you agree to comply with all anti-spam standards:

• Consent: Spam and unsolicited bulk messaging without recipient consent (opt-in) are strictly prohibited.
• Prohibited Content: You shall not transmit messaging content that is fraudulent, defamatory, deceptive, obscene, abusive, or associated with phishing/smishing.
• Opt-Out Compliance: You must respect recipient Do-Not-Disturb (DND) registrations and opt-out requests immediately.

8. Prohibited Uses & Account Suspension

You shall not use the platform or APIs for illicit activities, including money laundering, unauthorized financial intermediation, fraudulent schemes, reverse-engineering our software, or distributing prohibited goods/services. Wavetop Global reserves the absolute right to suspend or terminate accounts involved in fraudulent or unauthorized activity without prior notice.

9. Data Privacy

We value your privacy. All personal and transaction data collected during your use of Wavetop Global is processed and stored in strict compliance with our Privacy Policy.

10. Limitation of Liability

Wavetop Global is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Wavetop Global shall not be liable for any indirect, incidental, or consequential losses resulting from platform downtime, upstream operator delays, or unauthorized user access.

11. Amendments & Governing Law

Wavetop Global reserves the right to update these Terms at any time. Continued use of the platform following updates constitutes acceptance of the revised terms. This Agreement is governed by applicable commercial laws of the jurisdiction of incorporation of Wavetop Global Solution.
